Cartwheel Plugin Addendum

This Cartwheel Plugin Addendum (the "Plugin Addendum") supplements and is incorporated into Cartwheel's Website Terms of Use (the "Terms"). Capitalized terms not defined here have the meanings given to them in the Terms.
By downloading, installing, accessing, or using any Cartwheel plugin, extension, add-on, SDK, integration, or downloadable software made available by Cartwheel, including related updates, documentation, or materials (collectively, "Plugins"), you agree to this Plugin Addendum.
If there is a conflict between this Plugin Addendum and the Terms, this Plugin Addendum controls only with respect to the relevant Plugins. If there is a conflict between this Plugin Addendum and a separately signed agreement, order form, statement of work, data processing addendum, or other written agreement with Cartwheel (an "Other Agreement"), then such Other Agreement controls to the extent of the conflict.
Plugin Access and License
Plugins allow eligible Cartwheel users to access certain Cartwheel functionality directly within third-party software environments, including tools such as Unreal Engine, Blender, Maya, and other supported applications identified in Cartwheel documentation.
You may use Plugins only with an active Cartwheel account and valid Cartwheel API key or other access credentials authorized by Cartwheel. Certain Cartwheel plans may not include Plugin or API key access.
Subject to your compliance with this Plugin Addendum, the Terms, and any applicable subscription or Other Agreement, Cartwheel grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, configure, and use the Plugins solely for your internal business purposes and lawful commercial use in connection with your authorized use of Cartwheel.
For enterprise customers, Plugins may be made available internally to authorized employees, contractors, and representatives solely for the customer's internal business purposes, provided those users are authorized under the applicable Cartwheel account, order form, statement of work, or other written agreement.
Restrictions
You shall not, and shall not permit any third party to: (a) distribute, sell, rent, lease, sublicense, assign, transfer, or otherwise make any Plugin available to any unauthorized third party; (b) reverse engineer, decompile, disassemble, modify, or attempt to derive source code, underlying ideas, algorithms, models, or systems from any Plugin, except to the extent such restriction is prohibited by applicable law or expressly permitted by Cartwheel documentation; (c) share, expose, sell, transfer, or misuse any Cartwheel API key or access credential; (d) bypass, disable, circumvent, or interfere with any authentication, API key, credit, usage limit, security, or access-control mechanism; (e) use any Plugin to scrape, extract, harvest, archive, or systematically download Cartwheel content, motion libraries, outputs, metadata, or other platform materials; (f) use any Plugin, Cartwheel APIs, non-public Cartwheel technology, or information obtained through reverse engineering to build or offer a directly competing commercial product or service; or (g) use any Plugin in a way that violates the Terms, any third-party rights, any applicable third-party terms, or applicable law.
Nothing in this section restricts your development of internal tools, workflows, pipelines, or other products or services in compliance with the Terms, the Plugin Addendum, any Other Agreement and that do not otherwise misuse the Plugins, Cartwheel APIs, non-public Cartwheel technology, or Cartwheel intellectual property.
Customer Content, Outputs, and Data
Content you submit, upload, transmit, process, generate, or create through Plugins, including prompts, videos, reference images, characters, rigs, skeletal data, animation data, motion data, edits, and generated outputs, is treated as User Content under the Terms.
As between you and Cartwheel, you retain your rights in your User Content, subject to the rights and licenses granted to Cartwheel in the Terms and any applicable written agreement.
For clarity, Cartwheel does not use User Content, including content uploaded to the platform or generated through use of the platform, to train, retrain, or otherwise improve Cartwheel's machine learning or generative models, except where otherwise expressly agreed in writing.
Plugins transmit data between the applicable third-party software environment, your Cartwheel account, and Cartwheel's servers as necessary to authenticate your access, provide requested Plugin functionality, process submitted content, troubleshoot issues, maintain security, and operate the Cartwheel platform. Plugins are not intended to upload your entire project file unless you choose to submit project assets or data through Plugin functionality. Cartwheel may collect and use technical, diagnostic, and usage data relating to Plugin installation, performance, and use, in de-identified or aggregated form, to operate, secure, and improve Cartwheel's products and services.
You are responsible for ensuring that you have all rights, permissions, and consents necessary to submit any content or data through Plugins.
If you provide Cartwheel with suggestions, ideas, or other feedback regarding Plugins, Cartwheel may freely use and incorporate that feedback without restriction or any obligation to you.
Compatibility, Third-Party Terms, and Support
Plugins are designed for use with supported versions of third-party applications and operating systems identified in Cartwheel documentation. Cartwheel does not guarantee that Plugins will be compatible with all application versions, operating systems, hardware, software, drivers, customer project configurations, third-party plugins, or future updates released by third-party software providers.
Your use of Unreal Engine, Blender, Maya, Epic Games software, Autodesk software, third-party marketplaces, third-party plugins, third-party assets, or other third-party products or services is subject to the applicable third-party terms and policies. You are solely responsible for complying with those third-party terms. Plugins may include third-party or open-source software components that are subject to separate license terms, which govern use of those components.
Cartwheel may update, modify, suspend, disable, deprecate, or discontinue versions or features of Plugins from time to time in its sole discretion, subject to any separate written agreement. Support for Plugins, if any, will be provided according to your Cartwheel plan, order form, statement of work, or other applicable written agreement.
Local Projects and Backups
Plugins operate within third-party software environments and customer project files. You are responsible for your local projects, files, development environment, source control, backups, configurations, third-party plugins, and project dependencies.
You should maintain appropriate backups and source control for your projects, files, and assets before installing or using Plugins. To the maximum extent permitted by law, Cartwheel is not responsible for any loss of, corruption of, or damage to your local projects, files, or data arising from the installation, use, or removal of Plugins.
Disclaimer, Liability, and Termination
Plugins are provided "as is" and "as available," and Cartwheel disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent expressly provided otherwise in a separate written agreement with Cartwheel.
To the maximum extent permitted by law, Cartwheel's liability arising out of or relating to Plugins will be limited as set forth in the Terms or any applicable written agreement between you and Cartwheel.
Cartwheel may suspend or terminate your access to Plugins if Cartwheel reasonably believes your account, API key, or use of Plugins violates this Plugin Addendum, the Terms, any applicable agreement, or applicable law. Upon termination, you must stop using Plugins and delete reasonably accessible copies, except for archival or backup copies retained in accordance with ordinary business practices, legal obligations, or automated backup procedures, provided that such retained copies are not used.
Sections 2, 3, and 6 of this Plugin Addendum, and any other provisions that by their nature should survive, will survive any termination or expiration of your access to Plugins.
